Apply for registration as a declared wholesale unit trust scheme

Background information

The trustee of a unit trust scheme can apply to register the scheme as a declared wholesale unit trust scheme to gain concessionary treatment for landholder duty.

Registration as a wholesale unit trust scheme is for 3 years from the date specified by the Commissioner. Registration may be backdated to an earlier date. The Commissioner may cancel the registration if the scheme no longer meets the registration requirements.

Registration may be available where a scheme does not meet all criteria for registration as a wholesale unit trust scheme but is considered wholesale in its nature and purpose.

Step 1: Determine your eligibility

Before seeking registration, consider the factors the Commissioner considers when determining whether a scheme should be registered, including:

  • the purpose and nature of the scheme and whether it is effectively wholesale
  • whether the scheme was established for a particular investor or for a specific type of investor, i.e. public, professional or institutional
  • whether units in the scheme have been offered to retail investors or only to professional and institutional investors
  • the degree of ownership and/or control a particular investor or group of related investors has over the scheme
  • the percentage of units held by qualified investors either alone or together with associated persons
  • the value of each unit holder’s subscription under the scheme
  • the direct and indirect land holdings, including the unencumbered value of each land holding
  • the factors restricting the scheme’s ability to satisfy the criteria of a wholesale unit trust scheme and whether the scheme is eligible to be registered as an imminent wholesale unit trust scheme.

Step 2: Gather your supporting documents

Before completing the application form, make sure you have the required supporting documents. These include trust documents, financial records, details of unit holders and information about the nature and purpose of the scheme. Refer to the application form for the full list of documents. 

Step 3: Complete and lodge your application

The trustee of the unit trust scheme seeking registration must complete the application form online.

The form must be signed by or on behalf of the trustee before lodgement.

Lodge the signed form and supporting documents by email or mail, marked to the attention of the Manager, Landholder Acquisitions Branch.
